By accessing or using PanelShot ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

PanelShot is an AI-powered synthetic focus group platform. You submit content (URLs, files, or other materials) and our service generates synthetic persona evaluations using artificial intelligence. These evaluations are simulated opinions and should be used as directional feedback, not as a substitute for real user research.

3. Account Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity under your account.

4. Subscriptions & Payments

• Paid plans are billed monthly. Prices are listed on our pricing page.
• You may cancel your subscription at any time. Your plan remains active until the end of the current billing period.
• We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.
• Refunds are handled on a case-by-case basis. Contact us if you believe a charge was made in error.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Submit content that infringes on the intellectual property rights of others
• Attempt to reverse-engineer, decompile, or extract the underlying AI models or prompts
• Use automated means to access the Service beyond our provided API, or exceed documented rate limits
• Resell, sublicense, or redistribute the Service or its outputs without our written permission
• Submit content that is illegal, harmful, or violates the rights of third parties
• Interfere with or disrupt the integrity or performance of the Service

6. Intellectual Property

Your Content

You retain all rights to the content you submit to PanelShot. By submitting content, you grant us a limited license to process it for the purpose of delivering the Service.

Service Output

Evaluation reports, persona responses, and other outputs generated by the Service are yours to use for your internal business purposes. You may not represent AI-generated evaluations as genuine human feedback.

Our Platform

The PanelShot platform, including its design, code, AI configurations, and documentation, is our proprietary property protected by intellectual property laws.

7. AI-Generated Content Disclaimer

PanelShot generates synthetic evaluations using artificial intelligence. These outputs are simulated opinions, not real human feedback. While we strive for useful and realistic outputs:

• AI-generated personas may contain biases, inaccuracies, or hallucinations
• Outputs should not be the sole basis for critical business decisions
• We do not guarantee the accuracy, completeness, or reliability of any evaluation
• You are responsible for how you interpret and act on the results

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience downtime. We are not liable for any losses resulting from service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law, PanelShot and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless PanelShot from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may export your data before termination takes effect.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance.

13. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.
